1. Agreement to Terms

By accessing or using ReelsLab ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance. Please review the Terms periodically.

2. Description of Service

ReelsLab provides a platform for creating AI-generated informational short-form videos ("reels") from topics or prompts you provide. The Service may include account creation, content generation (e.g., scripts, narration, visuals), storage of your reels, and optional paid subscription plans. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice where practicable.

3. Account and Eligibility

You must be at least 13 years of age (or the age of consent in your jurisdiction) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and notify us of any unauthorized use. We may suspend or terminate accounts that violate these Terms or for other legitimate reasons.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Create content that is defamatory, harassing, hateful, obscene, or that promotes violence or illegal activity
• Infringe intellectual property or other rights of others
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Use the Service for spam, automated abuse, or to overload our infrastructure
• Resell or redistribute the Service or content in a manner not permitted by us

We may remove content or suspend or terminate accounts that we reasonably believe violate these Terms or are harmful to the Service or others.

5. Payments and Subscriptions

Paid plans are billed in accordance with the pricing displayed at the time of purchase. Payment is processed by Stripe; you agree to Stripe's terms where applicable. Fees are generally non-refundable unless required by law or as stated in our refund policy. We may change pricing with notice; continued use after a price increase constitutes acceptance. You are responsible for any taxes applicable to your use of the Service.

6. Your Content and License

You retain ownership of content you submit (e.g., prompts, topics). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content as necessary to provide and improve the Service (e.g., generating reels, storing videos). We do not claim ownership of your created reels; you are responsible for ensuring you have rights to any inputs and for how you use the outputs.

7. AI-Generated Content

The Service uses artificial intelligence to generate scripts, narration, and other content. AI-generated content may be inaccurate, incomplete, or unsuitable. You are solely responsible for reviewing and verifying any generated content before use or distribution. We do not guarantee the accuracy, quality, or legality of AI-generated output. Do not use the Service for critical decisions (e.g., legal, medical, financial) without independent verification.

8. Intellectual Property

ReelsLab, our name, logo, and the Service (excluding your content) are our intellectual property. You may not copy, modify, distribute, or create derivative works of our Service or branding without our written permission. Any feedback you provide may be used by us without obligation to you.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REELSLAB AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF GREATER). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless ReelsLab and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or any law or third-party rights.

12. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, with or without notice, for violation of these Terms or for any other reason. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (e.g., disclaimers, limitation of liability, indemnification) will survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in these Terms affects your statutory rights as a consumer in your jurisdiction.

14. General

These Terms constitute the entire agreement between you and ReelsLab regarding the Service. Our failure to enforce any right or provision does not waive that right or provision. If any provision is found unenforceable, the remaining provisions remain in effect. We may assign these Terms; you may not assign without our consent. No third party has any rights under these Terms.
